TERMS AND CONDITIONS OF USE

1. Purpose

These T&Cs define the conditions under which the Platform is made available to:

• visitors,
• property seekers (“Tenants”),
• real estate professionals, including agents, landlords, and project developers (“Professionals”).

2. Services Offered

Citu provides a digital platform that enables:

• Professionals to publish real estate listings,
• Tenants to browse listings, request visits, submit rental offers, and communicate with Professionals,
• the facilitation of rental-related services, including tenant screening, digital payments (including monthly rent payments), and other real estate support services.

Citu does not act as a real estate agent, landlord, property manager, or legal representative of either party.

3. Registration and User Accounts

• Registration is required to contact a Professional, submit an offer, undergo tenant screening, publish listings, or make payments on the Platform.
• Tenants and Professionals must provide accurate, complete, and up-to-date information.
• Each account is personal and may not be shared.
• Citu reserves the right to suspend or terminate any account in case of fraud, misuse, false information, or violation of these T&Cs.

4. Tenant Screening and Reduced Upfront Costs

• Citu may offer a tenant screening process based on criteria defined by Citu.
• Tenants who successfully complete the screening and are approved for a specific property may be eligible for reduced upfront rental costs, compared to prevailing market practices.
• Reduced upfront costs:
  • are not automatic,
  • are subject to eligibility and approval,
  • apply only to properties and Professionals that accept screened tenants.
• Completion of screening does not guarantee access to a property or acceptance by a Professional.

5. Payments on the Citu Platform

• The Platform enables Tenants to make rental-related payments, including but not limited to:
  • upfront payments,
  • monthly rent payments,
  • deposits,
  • platform or service fees, where applicable.
• Where required by Citu or a Professional, payments must be made exclusively through the Citu payment system.
• Payments made outside the Platform may result in:
  • loss of eligibility for reduced upfront costs,
  • loss of access to guarantees or protections offered by Citu,
  • suspension or termination of the account.

6. Garantie Loyer Impayé (Unpaid Rent Guarantee)

• Professionals who accept screened and approved tenants through the Platform may be eligible for a rent guarantee covering up to six (6) months in the event of tenant default.
• This guarantee:
  • is subject to specific eligibility criteria,
  • applies only to rental contracts and payments processed through the Citu Platform,
  • does not cover property damage, unpaid utilities, penalties, or other non-rent obligations unless explicitly stated.
• Citu reserves the right to review tenant default cases and determine eligibility for coverage in accordance with its internal procedures and applicable contractual terms.

7. Verification and Authenticity of Listings

• Citu endeavors to verify listings published by Professionals to enhance transparency and trust.
• However, Citu does not guarantee the accuracy, completeness, or legality of listings and shall not be held liable for errors, omissions, or misrepresentations made by Professionals.

8. Tenant and Professional Commitments

• Tenants agree to use the Platform solely for legitimate and personal real estate purposes.
• Professionals commit to:
  • providing accurate, lawful, and up-to-date listings,
  • complying with applicable laws and regulations,
  • acting in good faith toward Tenants.
• Any fraudulent, misleading, defamatory, or illegal use of the Platform is strictly prohibited.

9. Liability and Warranty Limitation

• Citu acts solely as a technical intermediary.
• Citu does not intervene in negotiations, visits, rental agreements, or contractual relations between Tenants and Professionals.
• Except where explicitly stated (e.g. guarantees), Citu shall not be held liable for disputes, losses, or damages arising between parties.

10. Personal Data Protection

Citu collects and processes personal data in accordance with its Privacy Policy.

Tenants and Professionals have the right to access, rectify, and delete their personal data in accordance with applicable data protection laws.

11. Intellectual Property

All content on the Platform (including text, images, logos, software, and branding) is protected by intellectual property laws.

Any reproduction, distribution, or unauthorized use is prohibited.

12. Modifications to the T&Cs

Citu reserves the right to modify these T&Cs at any time.

Updated versions will be published on the Platform and, where appropriate, notified to users.

13. Governing Law and Jurisdiction

These T&Cs are governed by Ivorian law.

Any dispute arising from the use of the Platform shall fall under the exclusive jurisdiction of the competent courts at Citu’s registered office location.
